TERMS OF SERVICE
By signing up for or using LeadLayer ("the service"), you agree to these terms. We'll keep this short and human-readable.
Who runs LeadLayer
LeadLayer is operated by James J Kaiser Jr DBA LeadLayer, a sole proprietorship based in Las Vegas, NV, USA. "We," "us," and "our" refer to that entity. "You" or "your" refers to the contractor business signing up.
What LeadLayer does
LeadLayer captures and qualifies inbound leads for residential service contractors via AI chat, missed-call recovery, and a lead-management inbox. You connect your phone number and optionally embed a chat widget on your website; we provide the AI agent, the inbox, and the routing.
Your account
- You're responsible for keeping your login credentials private and for everything that happens under your account.
- You're responsible for the accuracy of the business information you give us (phone, service area, etc.) — we use it to provision a phone number and route calls.
- One account per contractor business. Team-member access is coming.
- You must be at least 18 and authorized to sign on behalf of your business.
Acceptable use
- Don't use LeadLayer to send spam, harass anyone, or violate TCPA, CAN-SPAM, or any other applicable law.
- Don't use LeadLayer for any business that isn't actually a residential service contractor (or directly adjacent — light commercial, property management, etc.).
- Don't use LeadLayer for high-risk verticals prohibited by Twilio or carriers (gambling, cannabis, adult, payday loans, etc.).
- Don't try to reverse-engineer, scrape, attack the service, or use it to build a competing product.
- Don't impersonate someone else's business or use a phone number you don't own the right to.
We can suspend or terminate your account at any time if we believe you're violating these rules.
Phone numbers and Twilio
When you sign up, we provision a phone number for you through Twilio. That number is rented to your account for as long as your subscription is active. If you cancel, the number is released back to the pool — you cannot transfer it to another carrier. Calls and texts to your LeadLayer number are routed through Twilio's network and may be billed to your subscription based on usage.
You are responsible for SMS/voice carrier compliance (A2P 10DLC registration, brand verification, etc.) where it applies to your specific use. We'll do our best to handle the technical side, but you remain the responsible party for content sent under your business name.
AI handling of conversations
LeadLayer uses third-party AI models (currently Anthropic) to process inbound conversations. We send conversation content to those models to generate responses. We don't sell your data to anyone and we don't train models on your conversations.
AI is imperfect. It can make mistakes — wrong prices, wrong availability, wrong identifications. You should review AI-generated responses before relying on them for major business decisions. We provide tools (the inbox, push notifications, "AI paused" toggle) to help you stay in the loop.
Payment, billing, and auto-renewal
LeadLayer is a subscription service. Prices are listed on our website at sign-up.
If your payment fails, we'll retry a few times and email you. If it keeps failing, we may suspend your account.
Refunds
We don't offer refunds for unused time in a current billing period. We'll consider refund requests in exceptional circumstances — extended service outage on our side, billing errors, etc. — at our discretion. Email us within 30 days of the charge to discuss.
Service availability
We aim for high uptime but make no guarantees. Outages happen. We're not liable for missed leads, lost business, or other damages during an outage. Critical work happens on Twilio and Anthropic's infrastructure — their outages affect ours and are outside our control.
Your data
You own the data you and your customers put into LeadLayer. We process it on your behalf to provide the service. We don't sell it, share it with other contractors, or use it to train AI models. See our Privacy Policy for details.
Our content
The LeadLayer software, branding, design, and documentation are owned by us. You get a non-exclusive, non-transferable license to use the service while your subscription is active. You don't get the right to copy, resell, white-label, or sublicense it.
Termination
You can cancel anytime in Settings. We can suspend or terminate your account if you violate these terms, fail to pay, or use the service in a way that puts us or our other customers at risk. On termination, your data is deleted within 30 days unless you request export first.
Disclaimer of warranties
LeadLayer is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don't warrant the AI will be accurate, your leads will convert, or the service will be uninterrupted.
Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or punitive damages — including lost revenue, lost leads, lost data, or lost business opportunity — even if we've been advised of the possibility. Our total liability for any claim relating to LeadLayer is capped at the greater of (a) $100 USD, or (b) the amount you paid us in the 12 months prior to the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the service, (b) your violation of these terms, (c) your violation of any law (including TCPA, CAN-SPAM, or consumer protection laws), or (d) content you or your customers submit through the service. This survives termination of your account.
Governing law and dispute resolution
These terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-law principles. Any dispute arising under or relating to these terms will be resolved in the state or federal courts located in Clark County, Nevada. You and LeadLayer each consent to personal jurisdiction in those courts.
Before filing any lawsuit, you agree to first contact us at hello@useleadlayer.com and make a good-faith effort to resolve the dispute informally. Most issues can be sorted out without lawyers.
Force majeure
Neither party is liable for delays or failures caused by events outside their reasonable control — natural disasters, war, civil unrest, acts of government, major infrastructure outages (cloud providers, carrier networks, the public internet), labor disputes, pandemics, etc.
Changes to these terms
We'll update these terms when we need to. If something material changes, we'll email you at the address on file and update the "Last updated" date above. Continued use after a change means you accept the new terms. If you don't agree to a change, cancel before it takes effect.
Severability
If any part of these terms is found unenforceable, the rest stays in effect.
